ExclusiveAgencyAgreement

ThisExclusiveAgencyAgreement(hereinafterreferredtoastheAgreement)ismadeandeffectiveasofthedateofsigningbyandbetweenthePrincipalandtheAgent.

I.Definitions

1.PrincipalshallmeanthepartywhoappointstheAgenttoactasitsexclusiveagentunderthisAgreement.

2.AgentshallmeanthepartywhoacceptstheappointmentasthePrincipalsexclusiveagentunderthisAgreement.

3.TerritoryshallmeanthegeographicalareaspecifiedinthisAgreementwheretheAgentisauthorizedtoperformitsduties.

4.ProductshallmeanthegoodsorservicesspecifiedinthisAgreementthattheAgentisauthorizedtopromoteandsell.

II.AppointmentofAgent

ThePrincipalherebyappointstheAgentasitsexclusiveagentintheTerritoryforthepurposeofpromotingandsellingtheProduct.TheAgentacceptsthisappointmentandagreestoperformitsdutiesfaithfullyanddiligently.

III.AgentsDuties

1.TheAgentshallpromoteandselltheProductintheTerritoryusingitsbesteffortsandresources.

2.TheAgentshallmaintainasuitableofficeandsalesforcetocarryoutitsdutieseffectively.

3.TheAgentshallprovideregularreportstothePrincipalonitsprogressandactivitiesintheTerritory.

4.TheAgentshallcomplywithallapplicablelawsandregulationsintheTerritoryandensurethatitsactivitiesarelawfulandethical.

IV.PrincipalsResponsibilities

1.ThePrincipalshallprovidetheAgentwithnecessarytrainingandsupporttoenableittoperformitsdutieseffectively.

2.ThePrincipalshallestablishandmaintainasystemtomonitorandevaluatetheAgentsperformanceonaregularbasis.

3.ThePrincipalshallprovidereasonableincentivestoencouragetheAgenttoachieveitssalestargetsandotherobjectives.

4.ThePrincipalshallensurethatitspoliciesandpracticesareconsistentwiththoseoftheAgent
