INTRODUCTION

ThisStandardNon-DisclosureAgreement(the“Agreement”)isenteredintobyandbetweenPartyAandPartyB(collectively,the“Parties”),inconsiderationofthemutualinterestsandobligationssetforthherein.ThePartiesherebyagreeasfollows:

1.DEFINITIONS

ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

*“Disclose”or“Disclosure”shallmeananytransferofConfidentialInformation,whetherbysale,license,assignment,publication,disclosureinwriting,verbally,orbyanyothermeans.

*“Receive”or“Reception”shallmeananyacquisitionofConfidentialInformation,whetherbypurchase,license,assignment,oranyothermeans.

*“Use”or“Usage”shallmeananyuseofConfidentialInformationforanypurposewhatsoever.

2.SCOPEOFAGREEMENT

ThisAgreementshallapplytoallConfidentialInformationdisclosedbyoronbehalfofeitherPartytotheotherParty.ThisAgreementshallsurviveanyterminationorexpirationoftherelationshipbetweenthePartiesandshallremaininfullforceandeffectuntilallConfidentialInformationhasbeenreturnedordestroyedasrequiredbythisAgreement.

3.CONFIDENTIALITYOBLIGATION

4.AUTHORIZEDUSES

EachPartymayuseConfidentialInformationreceivedfromtheotherPartysolelyforthepurposesauthorizedbythisAgreementandshallnotusesuchinformationforanyotherpurposewhatsoever.TheauthorizedusesofConfidentialInformationshallinclude,butnotbelimitedto:

*TheevaluationandconsiderationofapotentialbusinessrelationshipbetweentheParties;

*TheperformanceofservicesrequestedbyeitherParty;
