CONTRACTOFCOOPERATIONFORBUSINESSOPERATIONBETWEENCHINESEANDFOREIGNPARTIES

本合同由以下双方于____年____月____日在中华人民共和国（“中国”）签订：

WHEREAStheparties,inrecognitionoftheirmutualinterestsandontheprinciplesofmutualbenefit,haveagreedtojointlyestablishabusinessoperationinChinaandherebyagreetoconcludethisContractforthepurposeofdefiningtheirrespectiverightsandobligationstoensuresmoothcooperation,theyherebyagreeasfollows:

一、定义与解释（Article1:DefinitionsandInterpretation）

本合同中所用术语的具体定义和解释见附件一（附表一）。本合同所涉及的专有术语和相关业务内容应以此附件为准。双方同意并接受这些定义和解释适用于整个合同。

Article1stipulatestheDefinitionsandInterpretationoftermsusedinthisContract.ThespecificdefinitionsandinterpretationsofthesetermsarelistedinAppendixI(Table1).TheprofessionaltermsandrelatedbusinesscontentinvolvedinthisContractshallbesubjecttothisappendix.ThepartiesagreeandacceptthatthesedefinitionsandinterpretationsshallapplytotheentireContract.

二、合作经营项目（Article2:ProjectofCooperationforBusinessOperation）
