2.TheAgent(hereinafterreferredtoasAgent):[AgentsName],withitsregisteredaddressat[AgentsAddress],representedby[AgentsAuthorizedRepresentative],actinginhiscapacityasthelegalrepresentativeoftheAgent.
WHEREAS,theSelleristhelegitimateowneroftheproductslistedintheattachedProductList(hereinafterreferredtoastheProducts);
WHEREAS,theAgentiswillingtoactastheexclusiveagentforthesaleoftheProductsintheterritoryspecifiedintheattachedTerritoryList(hereinafterreferredtoastheTerritory);
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ExclusiveAgencyAgreement
TheSellerherebygrantstheAgenttheexclusiverighttoselltheProductsintheTerritoryduringthetermofthisContract.TheSellershallnot,duringthetermofthisContract,directlyorindirectly,sellorofferforsaletheProductsintheTerritorytoanythirdparty.
2.ProductList
TheProductscoveredbythisContractarespecifiedintheattachedProductList.TheSellershallensurethattheProductslistedintheProductListareincompliancewithallapplicablelawsandregulations.
3.TerritoryList
TheTerritorywheretheAgentisauthorizedtoselltheProductsisspecifiedintheattachedTerritoryList.TheAgentshallnot,duringthetermofthisContract,sellorofferforsaletheProductsoutsidetheTerritory.
4.TermandTermination
ThisContractshallbeeffectivefromthedateofthisContractand
