1.Definitions

ForthepurposesofthisAgreement,thefollowingtermsandexpressionsshallhavethemeaningsassignedtothemhereinafter:

a.“Products”shallmeanthegoodsand/orservicestobesoldandpurchasedbytheSellerandBuyer,asspecificallydescribedinScheduleAattachedhereto.

b.“PurchasePrice”shallmeanthepricepaidbytheBuyerfortheProducts,asspecifiedinScheduleBattachedhereto.

c.“Term”shallmeantheperiodoftimeduringwhichthisAgreementshallremainineffect,asspecifiedinScheduleCattachedhereto.

d.“Territory”shallmeanthegeographicalareawithinwhichtheBuyershallhavetheexclusiverighttoselltheProducts,asspecifiedinScheduleDattachedhereto.

2.SaleandPurchaseofProducts

2.1TheSellerherebyagreestosellandtheBuyerherebyagreestopurchasetheProductsinaccordancewiththetermsandconditionssetforthinthisAgreement.

2.2TheBuyershallpaythePurchasePricefortheProductstotheSellerinaccordancewiththepaymenttermssetforthinScheduleBattachedhereto.

2.3TheSellershalldelivertheProductstotheBuyerinaccordancewiththedeliverytermssetforthinScheduleEattachedhereto.
