Thisagreementismadeonthedatespecifiedbelow,betweenPartyAandPartyB,withrespecttothematterspertainingtotrademarkandpatentlicenses.Aftermutualunderstandingandconsultation,bothpartiesagreetothefollowingtermsandconditions:
1.ScopeofContract:
Thisagreementpertainstothetransferandusageoftrademarksandpatents,whichwillbeusedbyPartyAundertheconditionsspecifiedinthiscontract.ThetrademarksandpatentsareownedbyPartyBandareprotectedbyrelevantlaws.
2.TrademarkLicense:
PartyBherebygrantstoPartyAanon-exclusivelicensetousethetrademarksspecifiedinthisagreementforthepurposeofidentifyingandpromotingtheproducts/serviceslistedinthiscontract.PartyAshallusethetrademarksinaccordancewiththeguidelinesprovidedbyPartyB.AnymodificationstothetrademarksmustbeapprovedbyPartyBinadvance.
3.PatentLicense:
PartyBlicensesPartyAtousethepatents,inventions,andotherintellectualpropertyrightsspecifiedinthisagreementforthepurposeofmanufacturing,using,selling,offeringforsale,andimportingtheproducts/servicescoveredbythiscontract.PartyAshallnotinfringeanythird-partyrightswhileutilizingthelicensedpatents.
4.TermofContract:
Thisagreementshallbeeffectivefromthedateofsigningandshallcontinueforaperiodof_______(specifyduration).Aftertheexpirationofthisterm,thelicenseshallautomaticallyterminateunlessrenewedbymutualagreement.
5.RoyaltyandFees:
PartyAshallpayPartyBareasonableroyalty/feefortheuseoftrademarksandpatentsasperthescheduleandamountsspecifiedinthisagreement.Anylatepaymentshallbesubjecttopenaltiesasagreeduponbybothparties.
