1.Definitions

1.4ThirdPartymeansanypersonorentityotherthantheDisclosingPartyortheReceivingParty.
2.DisclosureofConfidentialInformation
2.1TheDisclosingPartymaydiscloseConfidentialInformationtotheReceivingPartyforthepurposeof[Insertpurpose].TheReceivingPartyagreestousetheConfidentialInformationsolelyforsuchpurposeandtoexercisereasonablecaretoprotecttheconfidentialityoftheConfidentialInformation.
2.2TheDisclosingPartymayalsodiscloseConfidentialInformationtoThirdPartiesundercertaincircumstances,suchaswhenrequiredbylaworinconnectionwiththedisclosureoffinancialinformationtoinvestorsorcreditors.Insuchcases,theDisclosingPartyagreestousereasonableeffortstonotifytheReceivingPartyofsuchdisclosurepriortosuchdisclosureoccurring,ifpracticable.
3.UseandProtectionofConfidentialInformation
3.1TheReceivingPartyagreesnottousetheConfidentialInformationforanypurposeotherthanthatforwhichitwasdisclosed,exceptasotherwiseauthorizedinwritingbytheDisclosingParty.TheReceivingPartyshallexercisereasonablecaretoprotecttheconfidentialityoftheConfidentialInformationandshallnotdiscloseittoanyThirdPartywithoutthewrittenconsentoftheDisclosingParty,exceptasotherwiseprovidedinthisAgreement.
4.ExceptionstoConfidentiality
4.1TheobligationsofconfidentialitysetforthinthisAgreementshallnotapplytoanyinformationthat:
