采购合同

ThisPurchaseContract(hereinafterreferredtoastheContract)ismadeandenteredintobyandbetweentheBuyerandtheSeller:

买方和卖方经友好协商，共同订立此采购合同（以下简称“本合同”）。

Article1:ContractObject

第一条合同标的

ThesubjectofthisContractisthepurchaseoftheproductslistedintheattachedProductList(hereinafterreferredtoasProducts).

本合同所涉及的标的物为附带的产品清单中列明的产品（以下简称“产品”）。

Article2:PriceandPaymentTerms

第二条价格及付款条款

1.ThepriceoftheProductsshallbedeterminedaspertheattachedPriceList.ThetotalcontractpriceshallbepaidbytheBuyertotheSellerinaccordancewiththetermsstatedbelow:

产品价格按附带的价格表确定。合同总价款由买方按以下条款向卖方支付。

Article4:PackagingandShippingMarks

第四条包装与运输标志

TheSellershallprovideadequatepackagingfortheProductstoensuresafetransportationtotheplacedesignatedbytheBuyer.Shippingmarksshallbeclearlyindicatedoneachpackage.

卖方应为产品提供适当的包装以确保安全运输至买方指定的地点。每个包装上应清晰地标明运输标志。

Article5:InspectionandAcceptance

第五条检验与验收

TheBuyershallhavetherighttoinspecttheProductsduringproductionandpriortodelivery.TheProductsshallbeconsideredacceptedunlesstheBuyernotifiestheSellerofanydefectswithinareasonableperiodafterdelivery.

买方有权在生产过程中及交货前对产品进行检验。除非在交货后的合理期限内买方通知卖方存在任何缺陷，否则产品应被视为已被接受。
