ContractfortheImportandExportofGoods
Thiscontractismadebetween[BuyersName],hereinaftercalledBuyer,and[SellersName],hereinaftercalledSeller.
1.GoodsandQuantity:TheBuyeragreestobuyfromtheSellerthefollowinggoods,andtheSelleriswillingtosellthesametotheBuyer:[DescriptionofGoodsandQuantity].
2.PriceandPayment:Thepriceofthegoodsis[Price],andthepaymentshallbemadeby[MethodofPayment].
3.ShippingTerms:Thegoodsshallbeshippedfrom[PlaceofShipment]to[PlaceofDestination]nolaterthan[DateofShipment].
4.InspectionandAcceptance:TheBuyershallhavetherighttoinspectandacceptthegoodsat[PlaceofDestination].ThegoodsshallbeconsideredacceptedunlesstheBuyernotifiestheSellerinwritingofanydiscrepancieswithinsevendaysofthedateofarrivalatthedestination.
5.ForceMajeure:Neitherpartyshallberesponsibleforanydelayorfailuretoperformitsobligationsunderthiscontractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,insurrection,riot,embargo,fire,flood,drought,orothernaturaldisasters.
6.Indemnification:TheSellershallindemnifyandholdtheBuyerharmlessfromanyclaims,losses,ordamagesarisingfromanyinjurytopersonsorpropertycausedbyorrelatedtothegoodssoldhereunder.
7.Arbitration:Anydisputesarisingfromthiscontractshallbesubmittedtoarbitrationin[City/Country]inaccordancewiththerulesofthe[ArbitrationInstitution].Thearbitrationawardshallbefinalandbindingonbothparties.
8.Language:ThiscontractshallbewritteninEnglish.Anytranslationsprovidedareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofthiscontract.
