ThisConfidentialityAgreement(theAgreement)ismadeandenteredintobyandbetweenthepartieslistedbelowonthedatespecifiedbelow.

1.Thepartiesagreethatthefollowinginformationisconfidential:

(a)ThetermsofthisAgreement;

(b)AllnegotiationsanddiscussionsbetweenthepartiespriortotheexecutionofthisAgreement;

(c)Allbusiness,financial,andotherinformationprovidedbyonepartytotheotherpartyinconnectionwiththeexecutionofthisAgreement;and

(d)Allotherinformationthatthepartiesmayhaveagreedtokeepconfidentialorthatisotherwiseconfidentialbylaworregulation.

双方同意以下信息为必威体育官网网址信息：

（a）本协议条款；

（b）双方执行本协议前所有的谈判和讨论；

（c）一方为执行本协议向另一方提供的所有商业、财务和其他信息；以及

（d）双方可能已同意必威体育官网网址或法律、法规规定的其他必威体育官网网址信息。

二、必威体育官网网址义务

2.ThepartiesagreethattheyshallnotdiscloseanyconfidentialinformationtoanythirdpartyoruseanyconfidentialinformationforanypurposeotherthantheperformanceoftheirrespectiveobligationsunderthisAgreement,withoutthepriorwrittenconsentofthedisclosingparty.Thepartiesshallensurethattheirrespectiveemployees,agents,andrepresentativesarealsoboundbythisAgreementanddonotdiscloseanyconfidentialinformation.

双方同意，未经披露方事先书面同意，任何一方不得向第三方披露任何必威体育官网网址信息，或出于本协议之外的目的使用任何必威体育官网网址信息。双方应确保各自员工、代理人和代表也受本协议约束，不披露任何必威体育官网网址信息。

三、例外情况

3.Thereshallbenoobligationtokeepanyconfidentialinformationconfidentialifsuchinformation:

(a)Isorbecomespubliclyavailablewithoutanyactoromissionbythedisclosingparty;or

(b)WasknowntothereceivingpartypriortoitsreceiptfromthedisclosingpartyandwasnotacquiredbythereceivingpartyinbreachofthisAgreementoranyotherconfidentialityobligation.

（a）在披露方采取任何行动或疏忽后，该信息已经或变得公开可用；或

（b）在披露方向接收方披露之前，
