LOANAGREEMENT

ThisLoanAgreement(the“Agreement”)ismadeon[Date]byandbetween[NameoftheLender],a[TypeofLender]locatedat[AddressoftheLender],and[NameoftheBorrower],a[TypeofBorrower]locatedat[AddressoftheBorrower].

1.TheLoan

TheLenderagreestomakealoan(the“Loan”)totheBorrowerintheprincipalamountof[PrincipalAmountoftheLoan]onthetermsandconditionssetforthinthisAgreement.TheLoanshallbeusedfor[PurposeoftheLoan].

2.Repayment

TheBorroweragreestorepaytheLoaninfullon[DateofRepayment]withinterestatarateof[InterestRate]perannum.TheBorrowershallmakemonthlyinterestpaymentstotheLenderonthefirstdayofeachmonth,commencingon[StartDateofInterestPayments].TheBorrowershallalsopayallothercostsandexpensesassociatedwiththeLoan,includingbutnotlimitedto[ListofOtherCostsandExpenses].

3.Security

TheBorrowershallprovidesecurityfortheLoanintheformof[DescriptionofSecurity].ThesecurityshallbeheldbytheLenderuntiltheLoanisrepaidinfull.IftheBorrowerdefaultsontheLoan,theLendershallhavetherighttoexerciseitsrightsandremedieswithrespecttothesecurity.

4.RepresentationsandWarranties

TheBorrowerrepresentsandwarrantstotheLenderthat:

*itisdulyorganizedandvalidlyexistingunderthelawsofitsjurisdictionofincorporation;

*ithasfullpowerandauthoritytoenterintothisAgreementandperformitsobligationshereunder;

*itisnotengagedinanybusinessoractivitythatisillegalorviolatesanyapplicablelaworregulation;

*ithassufficientfinancialresourcestorepaytheLoaninfull;and

*allinformationprovidedtotheLenderinconnectionwiththeLoanistrue,completeandaccurate.

5.Covenants

TheBorrowercovenantsto:
