ImportContractofGoods

ThiscontractismadebetweenABCLimited,acompanyincorporatedunderthelawsofXYZCountry(hereinafterreferredtoasBuyer)andDEFLimited,acompanyincorporatedunderthelawsofABCCountry(hereinafterreferredtoasSeller).

1.ScopeofContract

TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods:(specifythegoodstobeimported,includingquantity,quality,andanyotherrelevantdetails).

2.PriceandPaymentTerms

Thepriceofthegoodsis(specifytheprice)andshallbepaidbytheBuyertotheSellerinaccordancewiththefollowingterms:(specifythepaymentterms,includingpaymentmethod,timeofpayment,andanyotherrelevantdetails).

3.ShipmentTerms

ThegoodsshallbeshippedfromtheportofABCCountrytotheportofXYZCountryonorbefore(specifythedate).TheriskoflossordamagetothegoodsshallpasstotheBuyerupondeliveryattheportofXYZCountry.

4.InspectionandAcceptance

TheBuyershallinspectthegoodsuponarrivalattheportofXYZCountryandshallhaveareasonableperiodoftimetoacceptorrejectthegoods.TheSellershallbenotifiedimmediatelyofanydefectsorshortagesinthegoods.

5.ForceMajeure

Neitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthiscontractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofwar,terrorism,naturaldisasters,ormechanicalbreakdowns.

6.ApplicableLawandJurisdiction

ThiscontractshallbegovernedbythelawsofXYZCountryandanydisputesarisingoutofthiscontractshallbesubjecttothejurisdictionofthecourtsofXYZCountry.

7.Miscellaneous

7.1Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten,betweenthemrelatingtothesubjectmatterof
