篇1

ThisExclusiveAgencyAgreement(theAgreement)ismadeandeffectiveasof[EffectiveDate]byandbetween[PrincipalsName](thePrincipal)and[AgentsName](theAgent).

1.0ScopeofAgency

TheAgentshallactasthePrincipalsexclusiveagentinthe[ScopeofWork]regionforthefollowingpurposes:

*TopromotethePrincipalsproductsandservices.

*Tonegotiateandsigncontractswithpotentialcustomers.

*Toprovideafter-salessupportandservicetothePrincipalscustomers.

*ToperformanyotherdutiesasassignedbythePrincipal.

2.0TermofAgency

ThetermofthisAgreementshallbeforaperiodof[AgencyTerm]years,commencingontheEffectiveDate.TheAgentmayterminatethisAgreementatanytimebygivingthePrincipalawrittennoticeofatleast[NoticePeriod]dayspriortothedateoftermination.ThePrincipalmayterminatethisAgreementatanytimebygivingtheAgentawrittennoticeofatleast[NoticePeriod]dayspriortothedateoftermination.

3.0AgentsRemuneration

TheAgentshallbeentitledtoacommissionof[CommissionRate]%ofthetotalsalesvalueofallcontractssignedbytheAgentduringthetermofthisAgreement.TheAgentshallalsobeentitledtoanyotherincentivesorbonusesasmaybeagreeduponbythePrincipalfromtimetotime.

4.0Confidentiality

TheAgentshallkeepconfidentialallinformationobtainedfromthePrincipalduringthetermofthisAgreement,whethersuchinformationisdisclosedtotheAgentinwriting,orallyorotherwise.TheAgentshallnotdiscloseoruseanysuchconfidentialinformationforanypurposeotherthantoperformitsdutiesunderthisAgreement.

5.0Indemnity

TheAgentshallindemnifyandholdharmlessthePrincipalfromandagainstanyclaims,demands,losses,damages,costsandexpensesarisingoutoforinconnectionwiththeAgentsbreachofthisAgreement,includingbutnotlimitedto
