RECITALS

WHEREAS,Licensorisengagedinthebusinessof[brieflydescribethebusiness],anddesirestogranttoFranchiseetherighttooperateafranchisebusinessundertheLicensorstradenameandtrademarks;

WHEREAS,FranchiseedesirestoobtaintherighttooperateafranchisebusinessundertheLicensorstradenameandtrademarks;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.GrantofFranchise.LicensorherebygrantstoFranchisee,andFranchiseeherebyaccepts,anon-exclusive,non-transferable,personalfranchisetooperateabusinessatthelocationdescribedinExhibitA(FranchiseLocation)undertheLicensorstradenameandtrademarks,subjecttothetermsandconditionssetforthinthisAgreement.

2.Term.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[numberofyears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.RoyaltiesandFees.FranchiseeshallpaytoLicensor,duringthetermofthisAgreement,aroyaltyfeeof[percentage]%ofFranchiseesgrosssales,excludingtaxes,fromtheFranchiseLocation.FranchiseeshallalsopaytoLicensorafranchisefeeof[amount]ontheEffectiveDateandaninitialadvertisingfeeof[amount]ontheEffectiveDate.
