ThisContract(hereinafterreferredtoastheContract)isenteredintobyandbetweenthefollowingparties:

1.TheSeller(hereinafterreferredtoasSeller)and

2.TheBuyer(hereinafterreferredtoasBuyer).

WHEREAS,theSellerisengagedinthebusinessofsellinggoodsandservicesandtheBuyerisinterestedinpurchasingsuchgoodsandservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:

1.SubjectMatteroftheContract

TheSellershallsellandtheBuyershallpurchasethefollowinggoodsandservices(hereinafterreferredtoastheGoodsandServices)describedintheattachedScheduleA,whichisanintegralpartofthisContract.

2.TermsofPayment

a.TheBuyershallpaytheSellerthetotalpurchasepricefortheGoodsandServicesinaccordancewiththepaymenttermssetforthintheattachedScheduleB.

b.TheBuyershallmakepaymenttotheSellerbywiretransfer,bankdraft,oranyotherpaymentmethodagreeduponbythepartiesinwriting.

c.Incaseofanydisputeoverthepayment,thepartiesshallresolveitthroughfriendlynegotiationwithinareasonableperiodoftime.Ifthedisputecannotberesolvedamicably,thepartiesmayseekarbitrationorlitigationasprovidedbyapplicablelawsandregulations.

3.Delivery

a.TheSellershalldelivertheGoodsandServicestotheBuyeratthedesignatedlocationmentionedintheattachedScheduleAwithintheagreeddeliveryperiod.

b.ThedeliverydateshallbeconsideredthedatewhentheBuyertakespossessionoftheGoodsandServices.

c.Incaseofanydelayindelivery,theSellershallcompensatetheBuyerforanydirectlossordamagecausedbythedelay.

4.QualityandQuantity

a.ThequalityandquantityoftheGoodsandServicesshallcomplywiththespecificationsandstandardsmentionedintheattachedScheduleA.
