CONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreement(the“Agreement”)ismadebyandbetweenthepartiessetforthbelowonthedatesetforthbelow.

Parties:

1.[NameofCompany1](the“Company”),acorporationorganizedunderthelawsof[State],withitsprincipalplaceofbusinessat[Address],and

2.[NameofEmployee](the“Employee”),anemployeeoftheCompanyengagedintheperformanceofdutiesrelatedtothedisclosureofconfidentialinformation.

1.Definitions:

b.“Disclosure”meansanyoralorwrittencommunicationoranyothermeansbywhichConfidentialInformationissharedormadeaccessibletoothers.

c.“Use”meansanyactivitythatinvolvesthehandling,processing,storing,retrieving,viewing,disclosing,orotherwiseutilizingConfidentialInformation.

2.ConfidentialityObligations:

b.TheEmployeeacknowledgesthatConfidentialInformationmaybedisclosedbytheCompanytootheremployeesorthirdpartieswhohaveaneedtoknowsuchinformationforthepurposeofperformingtheirdutiestotheCompany.Insuchcases,theEmployeeagreesthathe/shewillnotdiscloseanyConfidentialInformationtoanyotheremployeeorthirdpartywhodoesnothaveaneedtoknowsuchinformation.

c.TheEmployeeagreesthatuponterminationofhis/heremploymentwiththeCompanyorattherequestoftheCompany,he/shewillpromptlyreturnallConfidentialInformationtotheCompanyordestroyallcopiesthereof(exceptasotherwiserequiredbylaw).TheEmployeeagreesthathe/shewillnotretainanyConfidentialInformationforanypurposeotherthantoassistinthetransitionofhis/herdutiestoanotheremployeeorasotherwiserequiredbylaw.

3.Exceptions:

a.TheprovisionsofthisAgreementshallnotapplytoanyinformationthatis:(i)inthepublicdomainatthetimeofdisclosurebytheCompany;(ii)knowntotheEmployeepriortodisclosureby
