REPRESENTATIONSANDWARRANTIES

TERMANDTERMINATION

2.2EitherPartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherParty.

DUTIESANDRESPONSIBILITIES

3.1TheEmployeeshallperformthedutiesandresponsibilitiesasoutlinedinthejobdescriptionattachedheretoasExhibitA.

3.2TheEmployeeshallcomplywithallapplicablelaws,regulations,andpoliciesoftheEmployer.

3.3TheEmployeeshallmaintainconfidentialityofallconfidentialinformationoftheEmployer.

COMPENSATIONANDBENEFITS

4.1TheEmployeeshallbepaidamonthlysalaryof[SalaryAmount](hereinafterreferredtoastheSalary)duringtheTermofthisAgreement.

4.2TheEmployershallprovidetheEmployeewiththefollowingbenefits:

a.Healthinsurancecoverage;

b.Paidvacationleave;

c.Paidsickleave;

d.OtherbenefitsasmaybeagreeduponbytheParties.
