ThisContract(hereinafterreferredtoastheContract)ismadeandenteredintoon[DateofExecution],byandbetween[PartyA](hereinafterreferredtoastheManufacturer),and[PartyB](hereinafterreferredtoastheBuyer),collectivelyreferredtoastheParties.

1.0Introduction

TheManufacturer,beingengagedinthemanufacturingbusiness,andtheBuyer,beingengagedinthesalesanddistributionbusiness,agreetoenterintothisContractforthepurposeofcarryingouttheOEM(OriginalEquipmentManufacturing)productionandsupplyofgoodsasperthetermsandconditionssetforthherein.

2.0Definitions

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:

a)OEMProduction:ThemanufacturingprocessinwhichtheManufacturerproducesgoodsundertheBuyersbrand,specifications,andtechnicalrequirements.

b)Goods:TheproductstobemanufacturedbytheManufacturerunderthisContract.

c)TechnicalSpecifications:Thedetailedrequirements,specifications,andstandardsfortheproductionoftheGoods,providedbytheBuyer.

d)Delivery:ThetransferofpossessionoftheGoodsfromtheManufacturertotheBuyer.

3.0ScopeofWork

TheManufactureragreestomanufactureandsupplytheGoodsaspertheTechnicalSpecificationsprovidedbytheBuyer.Thescopeofworkincludesbutisnotlimitedto:

a)Thedesign,development,andproductionoftheGoods.

b)QualitycontrolandinspectionoftheGoodsduringtheproductionprocess.

c)PackagingandlabelingoftheGoodsinaccordancewiththeBuyersrequirements.

d)DeliveryoftheGoodstotheBuyersdesignatedlocation.

4.0QualityandInspection

TheManufacturerwarrantsthattheGoodsshallcomplywiththeTechnicalSpecificationsandshallbefreefromdefects.TheBuyershallhavetherighttoinspecttheGoodsupondelivery.Intheeventofanydefectsornon-compliance,theBuyershallnotifytheManufacturerwithin[N
