.TotheextenttheapplicableconsentsoftheInvestorshavebeengivenpursuanttoSectionREF_Ref505351103\w\h8,ifanyFounderorFounderHoldingCompanyproposestoTransferanyEquitySecuritiesoftheCompanyoranyinterestthereintoanyPerson,thensuchFounderorFounderHoldingCompany(ineachcase,aTransferor)shallgivetheInvestorsandtheCompanywrittennoticeoftheTransferor’sintentiontomaketheTransfer(theTransferNotice),whichshallinclude(i)adescriptionoftheEquitySecuritiestobetransferred(theOfferedShares),and(ii)theconsiderationandthematerialtermsandconditionsuponwhichtheproposedTransferistobemade.

TheInvestors(collectively,theROFRRightHolderandeach,aROFRRightHolder)shallhaveanoptionforaperiodoftwenty(20)BusinessDaysfollowingreceiptoftheTransferNotice(asmaybeextendedpursuanttoSectionREF_Ref505351124\w\h9.4(b),theOptionPeriod)toelecttopurchasealloranyportionofitsrespectiveROFRProRataShare(asdefinedinSectionREFzz_rofrproratashare\w\h9.2(b)below)oftheOfferedSharesatthesamepriceandsubjecttothesametermsandconditionsasdescribedintheTransferNotice,bynotifyingtheTransferorinwritingbeforetheexpirationoftheOptionPeriodastothenumberofsuchOfferedSharesthatitwishestopurchase.IfanyROFRRightHolderfailstosorespondinwritingwithintheOptionPeriod,thensuchROFRRightHoldershallforfeittherightofFirstRefusalhereunder.
