Undersuchcircumstances,attheendofMarch2020,EvaLu,acommercialagent,

introducedtheDefendanttothePlaintiff,claimingthattheDefendant,asa

well-knownfactoryinChina,couldproduceandsupplymasksandensuretheir

qualityandquantity.

Sincethesupplyofthemasksinthisanti-pandemicperiodwasextremely

time-sensitive,whetherthemaskscanbesuppliedonscheduleasrequiredwasone

ofthekeyfactorsforthePlaintifftoselectsuppliers.Inparticular,thePlaintiffhad

enteredintoarelateddownstreamsupplycontractwithanAustralianthirdparty.

On1April2020(thedaybeforeconcludingtheContract),theDefendant,throughEva

Lu,providedthePlaintiffwithitsbusinessinformation,auditreport,specificationsof

themask(whichclearlydescribeditasafour-layeredmask,withitsouterlayerbeing

non-wovenfabric,theinnerlayerbeinghotairfiltersponge,thefilterlayerbeing

meltblowncloth)andinnerandouterpackagingboxesofmaskstobeproduced(the

innerpackageclearlyshowedthatthemaskshouldhavefourlayers),etc.,and

confirmedthattheDefendantsmaskproductioncapacitywasatleast100,000per

dayafter10April2020.

On2April2020,thePlaintiffandtheDefendantenteredintothePurchaseOrder(the

“Contract”).PursuanttotheContract,thePlaintiffpurchasedtheKN95masksfrom

theDefendantataunitpriceofUSD1.3for4millionpiecesandthetotalcontract

pricebeingUSD5.2million.
