ThisPatentAgreement(hereinafterreferredtoastheAgreement)isenteredintoon[Date]byandbetweenthefollowingparties:

WHEREAS,thePatentOwneristheownerofthepatentrights(hereinafterreferredtoasthePatent)withthefollowingpatentnumber:[PatentNumber],issuedbythe[PatentAuthority];

WHEREAS,theLicenseedesirestoobtainalicensetousethePatentforthepurposeof[PurposeofUse];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.GrantofLicense

ThePatentOwnerherebygrantstotheLicensee,andtheLicenseeherebyaccepts,anon-exclusive,worldwide,royalty-free,andperpetuallicensetousethePatentforthepurposeof[PurposeofUse].

2.RightsandObligations

2.1TheLicenseeshallhavetherightto:

a.Make,havemade,use,sell,offerforsale,import,andexporttheproductsandprocessescoveredbythePatent;

b.Market,distribute,andselltheproductsandprocessescoveredbythePatent;

c.Develop,manufacture,andsupplytheproductsandprocessescoveredbythePatent;

d.Obtain,maintain,andrenewthepatentrightsofthePatentintheterritoriesspecifiedinthisAgreement.

2.2TheLicenseeshallbeobligatedto:

a.ComplywithallapplicablelawsandregulationsrelatedtothePatent;

b.Notinfringeuponthepatentrightsofanythirdparty;

c.PaythelicensefeeandotherexpensesasprovidedinthisAgreement;

d.ProvidethePatentOwnerwiththenecessaryinformationandassistanceforthemaintenanceandrenewalofthePaten
