NON-LITIGATION委托代理合同
PART1:INTRODUCTION
ThisNon-LitigationCommissionAgreement(theAgreement)ismadeandeffectiveasofthedateofsignaturebyandbetweenthePrincipalandtheAgent.ThePrincipal,desiringtoengageinanon-litigationmatter,appointstheAgentasitssoleandexclusiveagenttorepresentandactonitsbehalfinconnectionwithsuchmatter.
PART2:SCOPEOFREPRESENTATION
2.1TheAgentshallrepresentthePrincipalinthefollowingnon-litigationmatter:[describethematterbriefly].
2.2TheAgentsrepresentationshallincludethefollowingresponsibilities:
*ToprovidelegaladviceandassistancetothePrincipalinconnectionwiththenon-litigationmatter.
*TonegotiateonbehalfofthePrincipalwiththirdpartiesinvolvedinthematter.
*Todraftandreviewagreementsandotherlegaldocumentsrelatedtothematter.
*ToprovideupdatestothePrincipalontheprogressofthematter.
*ToperformsuchotherdutiesasmaybeagreeduponbythePrincipalandtheAgent.
PART3:TERMSOFPAYMENT
3.1ThePrincipalshallpaytheAgentforitsrepresentationinthefollowingmanner:
*Aretainerfeeof[amount]shallbepaidatthecommencementoftherepresentation.
*Anhourlyrateof[amount]shallbechargedforeachhourworkedonthematterbytheAgentoritsassociates.
*Ifapplicable,anyout-of-pocketexpensesincurredbytheAgentinconnectionwiththemattershallbereimbursedbythePrincipal.
3.2ThePrincipalshallmakeallpaymentsdueunderthisAgreementinatimelymanner.AllinvoicessubmittedbytheAgentshallbepaidbythePrincipalwithin[number]daysofreceipt.
PART4:CONFIDENTIALITY
4.1Allinformationrelatedtothenon-litigationmatter,includinganyconfidentialdocumentsorinformationprovidedbythePrincipaloracquiredbytheAgentduringthecourseoftherepresentation,shallbekeptstrictlyc
