ExclusiveAgencyAgreement

ThisAgreementismadeandenteredintobyandbetweenPartyAandPartyB,inordertospecifytherightsandobligationsofthepartiesinthecourseofexclusiveagency.

1.DefinitionsandInterpretation

1.1.InthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

*ExclusiveAgencyreferstotheexclusiverightofonepartytoactastheagentofanotherpartyinaspecifiedterritoryandindustry,withtherighttonegotiateandconcludecontractsonbehalfoftheotherparty.

*PartyArefersto[CompanyA],a[companytype]incorporatedin[CountryA]withitsprincipalplaceofbusinessat[AddressA].

*PartyBrefersto[CompanyB],a[companytype]incorporatedin[CountryB]withitsprincipalplaceofbusinessat[AddressB].

*Territoryrefersto[specificterritory],inwhichPartyBshallexerciseitsexclusiveagencyrights.

*Industryrefersto[specificindustry],inwhichPartyBshallexerciseitsexclusiveagencyrights.

1.2.TheinterpretationofthetermsinthisAgreementshallbeinaccordancewiththeprovisionsofChineselaw.AnydisputesarisingfromorinconnectionwiththisAgreementshallbesettledthroughfriendlyconsultation.Ifnosettlementcanbereached,eitherpartymaysubmitthedisputeto[relevantcourtorarbitrationinstitution]forresolutionthroughlitigationorarbitrationinaccordancewiththelaw.

2.ObjectivesoftheAgreement
