NON-LITIGATION委托代理合同

ThisNon-LitigationDelegationContractismadebyandbetween[ClientName]and[AgentName]onbehalfof[ClientName]’sinterest.ThepurposeofthisContractistostipulatetherights,obligations,andresponsibilitiesofthepartiesinrelationtothenon-litigationmatterstobehandledbytheAgent.

1.DEFINITIONS

1.1“Client”shallmean[ClientName],thepartyengagingtheAgentunderthisContract.

1.2“Agent”shallmean[AgentName],thepartyengagedbytheClientunderthisContract.

1.3“Contract”shallmeanthisNon-LitigationDelegationContract,asamendedfromtimetotime.

1.4“Non-LitigationMatters”shallmeanallmattersrelatedtolegalservices,otherthanlitigation,whichareentrustedtotheAgentbytheClientunderthisContract.

2.SCOPEOFCONTRACT

2.1TheAgentshallprovidelegalservicestotheClientinrelationtotheNon-LitigationMatters,whichmayincludebutnotbelimitedtothefollowing:

(a)providingadviceandconsultationonlegalissues;

(b)drafting,reviewing,andnegotiatinglegaldocuments;

(c)handlinglegaltransactions;

(d)providingtrainingandeducationonlegaltopics;and

(e)anyotherlegalservicesasmaybeagreeduponbythepartiesfromtimetotime.

2.2TheAgentshallperformitsdutiesinatimely,efficient,andprofessionalmanner,inaccordancewithallapplicablelaws,regulations,andethicalstandards.

3.OBLIGATIONSOFTHEAGENT

3.1TheAgentshall:

(a)keepallconfidentialinformationrelatedtotheNon-LitigationMattersconfidential;

(b)providetheClientwithregularupdatesontheprogressoftheNon-LitigationMatters;and

(c)ensurethatallworkperformedunderthisContractisofahighqualityandmeetsthestandardssetbytheprofession.

4.OBLIGATIONSOFTHECLIENT

4.1TheClientshall:

(a)providetheAgentwithallnecessaryinformationandassis
